Item 5.07 Submission of Matters to a Vote of Security Holders.

As previously reported, a majority of votes cast at the 2011 Annual Meeting of Shareholders of Huntington Bancshares Incorporated ("Huntington") were in favor of an annual advisory vote on executive compensation. In consideration of this vote, Huntington’s Board of Directors has determined that it will include an advisory, non-binding vote on executive compensation in its proxy materials pursuant to Section 14A of the Securities Exchange Act of 1934 on an annual basis until the next advisory vote on the frequency of advisory votes on executive compensation, which will occur no later than Huntington’s 2017 Annual Meeting of Shareholders.
