| Item 2.02 | Results of Operations and Financial Condition |
On July 21, 2011, Monro Muffler Brake, Inc. (the “Company”) issued a press release announcing its operating results for the first quarter ended June 25, 2011, as well as estimated second quarter and fiscal 2012 comparable store sales growth and diluted earnings per share. A copy of the press release is furnished herewith as Exhibit 99.1.

On July 21, 2011, the Company announced that its Board of Directors declared a cash dividend for the second quarter of fiscal 2012 of $.09 per share, representing a 12.5% increase in the Company’s quarterly dividend payments. The dividend will be payable on September 16, 2011 to shareholders of record as of September 6, 2011, including shares of common stock to which the holders of the Company’s Class C Convertible Preferred Stock are entitled. Further details are contained in the press release furnished as Exhibit 99.1.
