Item 8.01 Other Events.
On July 22, 2011, Kodiak Oil & Gas Corp. (the “Company”) issued a press release announcing the closing of its previously announced public offering of 27,600,000 shares of common stock, which includes the full exercise of the underwriters’ over-allotment option of 3,600,000 shares. The Company received net proceeds of approximately $159.4 million, after deducting underwriting discounts and commissions and the Company’s estimated offering expenses. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
