Item 8.01 Other Information.
(a) On July 21, 2011, Cephalon, Inc. (the “Company”) completed its previously announced acquisition of ChemGenex Pharmaceuticals Limited (“ChemGenex”). ChemGenex is now an indirect, wholly-owned subsidiary of the Company.
(b) On July 21, 2011, the Company issued a press release announcing that the U.S. Food and Drug Administration approved the Risk Evaluation and Mitigation Strategy (REMS) for FENTORA® (fentanyl buccal tablet) [C-II] and ACTIQ® (oral transmucosal fentanyl citrate) [C-II]. The Company hereby incorporates by reference the press release dated July 21, 2011, attached hereto as Exhibit 99.1 and made a part of this Item 8.01.
