Item 2.02. Results of Operations and Financial Condition.
On July 17, 2011, Greenhill & Co., Inc. (“Greenhill”) issued a press release announcing its
financial results for the fiscal quarter ended June 30, 2011. A copy of the press release is
attached hereto as Exhibit 99.1 and is incorporated herein by reference.
The information furnished pursuant to this Item 2.02, including Exhibit 99.1, shall not be
