Other Events.

On July 12, 2011, the Company announced that Paul G. Perez, Vice President and Secretary, passed away. Mr. Perez began his career with Lufkin Industries, Inc. in 1993 as Director of Human Resources. He was promoted to Vice President in 1996, and served as Vice President, General Counsel and Secretary from 1999 until May of 2011 when he stepped down as General Counsel. The full text of the press release is attached as Exhibit 99.1 hereto and the contents of such Exhibit are incorporated herein by reference.
