This Current Report on Form 8-K/A (“Form 8-K/A”) is filed as an amendment to the Current Report on Form 8-K filed by Dais Analytic Corporation with the Securities and Exchange Commission on March 28, 2011 (the “Original Form 8-K”). The sole purpose of filing this Form 8-K/A is to file a copy of Exhibits 10.7 and 10.10, Note and Warrant Purchase Agreement by and between Dais Analytic Corporation and Platinum-Montaur Life Sciences, LLC, dated March 22, 2011, and Patent Security Agreement by and between Dais Analytic Corporation and Platinum-Montaur Life Sciences, LLC, dated March 22, 2011, respectively, certain portions of which have been omitted based on a revised request for confidential treatment.
