Item 5.03.              Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On June 28, 2011, Senior Housing Properties Trust, or the Company, amended its declaration of trust increasing the number of the Company’s authorized shares of beneficial interest from 150,000,000 to 175,000,000. Following the amendment, the Company’s authorized shares are currently classified as follows: (i) 174,700,000 common shares, $0.01 par value per share; and (ii) 300,000 junior participating preferred shares, $0.01 par value per share.

 

Item 8.01.              Other Events.

 

On June 28, 2011, the Company priced an underwritten public offering of 10,000,000 common shares of beneficial interest.  The Company expects to issue and deliver these shares on or about July 1, 2011.  The public offering price was $22.50 per share.  The Company expects to use the $215.2 million of net proceeds of the offering (after deducting estimated offering expenses and underwriters’ discounts) to repay amounts outstanding under its revolving credit facility and for general business purposes, including funding acquisitions. The Company also granted the underwriters an option to purchase an additional 1,500,000 common shares to cover over-allotments, if any.
