ITEM 1.01
Entry into a Material Definitive Agreement

Effective as of June 22, 2011, Bio-Rad Laboratories, Inc. (the “Company”) entered into an indemnification agreement in the form attached hereto as Exhibit 10.1 with each of its directors (the “Indemnification Agreement”). The Indemnification Agreement provides for indemnification of, and advancement of litigation and other expenses to, a director to the fullest extent permitted by law for claims relating to his or her service to the Company or its subsidiaries, subject to the terms and conditions contained in the form of Indemnification Agreement attached hereto as Exhibit 10.1.

The foregoing description of the Indemnification Agreement is qualified in its entirety by reference to the full text of the form of Indemnification Agreement attached hereto as Exhibit 10.1, which is incorporated by reference herein.
