Item 1.01

 

Entry into a Material Definitive Agreement.

 

On June 20, 2011, Triumph Group, Inc. (the “Company”) entered into a Fourth Amendment to Receivables Purchase Agreement (the “Amendment”) by and among Triumph Receivables, LLC, as seller, the Company, as servicer, Market Street Funding LLC (“Market Street”), as a related committed purchaser and a conduit purchaser, and PNC Bank, National Association, as purchaser agent for Market Street’s purchaser group and as administrator.  Pursuant to the Amendment, the Facility Termination Date was extended from August 7, 2013 to June 19, 2014.  A copy of the Amendment is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated by reference herein.
