Item 8.01                      Other Events.

On June 23, 2011, the Board of Directors of Oconee Federal Financial Corp. (the “Company”) declared a quarterly cash dividend of $0.10 per share of the Company’s common stock. The dividend will be payable to stockholders of record as of July 7, 2011, and will be paid on July 19, 2011.

Oconee Federal, MHC, a federal mutual holding company which owns 4,127,470 of the Company’s 6,348,000 outstanding shares, has waived the right to receive its portion of the dividend, based on action of its Board of Directors.  Accordingly, the dividend is expected to be paid only on the 2,220,530 shares owned by minority shareholders of the Company.
