Item 8.01 Other Events.

On June 24, 2011, Fremont Michigan InsuraCorp, Inc. (“Fremont”) began distributing a communication by email to the insurance agents of its subsidiary, Fremont Insurance Company, reminding the agents who are shareholders of Fremont to submit their proxy cards in connection with the Special Meeting of Shareholders of Fremont to be held on July 22, 2011, to approve the previously announced merger with Auto Club Insurance Association. The same communication may also be sent to other Fremont shareholders for the same purpose. A copy of the content of the communication to be distributed to agents is attached hereto as Exhibit 99.1 and is incorporated by reference.

On June 24, 2011, Fremont’s proxy solicitor intends to begin distributing letters to Fremont’s shareholders reminding them to submit their proxy cards in connection with the Special Meeting of Shareholders of Fremont to be held on July 22, 2011, to approve the previously announced merger with Auto Club Insurance Association. A copy of the letters that may be distributed are attached hereto as Exhibit 99.2 and is incorporated by reference.
