Item 5.07.  Submission of Matters to a Vote of Security Holders.

On June 17, 2011, Neogenix Oncology, Inc. (the “Company”) held its annual meeting of stockholders (the “Annual Meeting”) to consider and vote upon the following proposals:

 
1.
To elect three (3) Class I directors to hold office until the 2014 annual meeting of stockholders and until their respective successors are duly elected and qualified; and
 
2.
To ratify the appointment of EisnerAmper LLP as the Company’s independent auditor for the fiscal year ending December 31, 2011.
 
The number of shares of common stock issued, outstanding and eligible to vote at the Annual Meeting as of the record date of May 1, 2011 was 22,757,785. 12,107,988 shares were represented at the Annual Meeting (in person or by proxy) constituting 53.2% of the outstanding shares entitled to vote. The election of directors and the ratification of the appointment of EisnerAmper LLC as the Company’s independent auditor for the fiscal year ending December 31, 2011 received the requisite approval by the Company’s stockholders. The final results of the voting on each of the matters presented to the stockholders are as follows:

Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective June 17, 2011, the Board of Directors (the “Board”) of the Company elected Stanley B. Archibald to the Board as a Class III director, with his term expiring as of the annual meeting of the stockholders of the Company to be held in 2013.

There are no arrangements or understandings between Mr. Archibald and any other person pursuant to which he was elected to the Board, and there are no relationships between Mr. Archibald and the Company that would require disclosure under Item 404(a) of Regulation S-K of the Securities Exchange Act of 1934, as amended.
