On June 23, 2011, Chico’s FAS, Inc. (the “Company”) issued a press release announcing the
election of three Class III directors as well as ratification and approval of other proposals at
its Annual Meeting of Stockholders.
In addition, the Company commented on current sales trends and announced that its Board of
Directors declared a quarterly cash dividend of $0.05 per share.
A copy of the release issued on June 23, 2011 is attached to this Report as Exhibit 99.1 and
is incorporated by reference herein.
