Item 8.01 Other Events.

 

On June 20, 2011, XsunX, Inc., a Colorado corporation (the “Company”) released a letter to shareholders (the “Shareholder Newsletter”) providing information to the Company’s efforts to develop and market a new hybrid manufacturing technology for the mass production of Copper Indium Gallium (di) Selenide (CIGS) thin film solar cells.

 

The Shareholder Newsletter provides updated information, and a link to a June 17, 2011 interview of CEO Tom Djokovich and CTO Robert Wendt, regarding the fabrication of the Company’s multi-chamber CIGSolar™ system, plans to consolidate operations into a single facility, and preparation to file for a patent related to the design of the Company’s thermal evaporation source.

 
 

 

The Shareholder Newsletter also outlines questions received by the Company and provides a brief response related to the building of the tool, the need for the new facility, and progress related to the development of the sales channel. A copy of the Shareholder Newsletter is attached hereto as Exhibit 99.1 and is hereby incorporated by reference into this Item 8.01.
