Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers
 
 On June 14, 2011 Roman Gordon resigned as a member of the Board of Directors, Chief Executive Officer and Secretary of the Cavitation Technologies, Inc and was subsequently appointed as the Chief Technology Officer.  He is succeeded by Todd Zelek who was appointed as Chairman of the Board of Directors and Chief Executive Officer.  In addition, on June 17, 2011, Mr. Zelek was appointed as Secretary of Cavitation Technologies, Inc.
