Item 8.01               Other Events.

 

On June 15, 2011, DPL Inc. (the “Company”) issued a press release announcing that on June 14, 2011 the U.S. Department of Justice and the Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with the proposed merger of the Company with a wholly-owned subsidiary of The AES Corporation (“AES”). A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated by reference herein.
