Item 8.01. Other Events
On June 10, 2011, Westway Group, Inc. (the "Company") issued a press release announcing that Agman Louisiana, Inc., the registered owner of all of the issued and outstanding shares of the Company's Class B common stock, has notified the Company that it intends to nominate and elect Messrs. Philip A. Howell, James B. Jenkins and Anthony J. Andrukaitis to the Board of Directors of the Company at the Company's Annual Meeting of Shareholders to be held on June 16, 2011. A copy of the press release is attached hereto as Exhibit 99.1.
On June 13, 2011, the Company issued a press release announcing that Westway Terminal Company LLC, a wholly owned subsidiary of the Company, has signed a Lease Conditions Agreement with Valero Refining Texas, L.P. that, subject to the fulfillment of certain conditions, gives Westway Terminal Company LLC the right to lease certain land and purchase three tanks and associated dock lines and dock assets. A copy of the press release is attached hereto as Exhibit 99.2.
