Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule of Standard; Transfer of Listing.
On June 14, 2011, SulphCo, Inc. (the “Company” or “SulphCo”) issued a press release announcing that the Company’s common stock would cease trading on the NYSE-Amex Exchange prior to the Market open on June 15, 2011 and begin trading on the OTCQB Marketplace effective with the Market open on June 15, 2011 under the new trading symbol “SLPH.” A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
