Item 5.03. Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

(a) As described under Item 5.07 of this Current Report on Form 8-K, at the annual meeting of the stockholders of Limelight Networks, Inc. (the “Company”) held on June 9, 2011, the stockholders approved an amendment to the Company’s Amended and Restated Certificate of Incorporation to increase the number of authorized shares of the Company’s common stock from 150,000,000 to 300,000,000. The Amendment is described in detail in the Company’s definitive proxy statement filed on April 22, 2011 with the Securities and Exchange Commission on Schedule 14A in connection with the annual meeting. The foregoing is a summary of the amendment to the Company’s Amended and Restated Certificate of Incorporation. This description does not purport to be complete and it is qualified in its entirety by reference to the full text of the Amended and Restated Certificate of Incorporation itself, which is filed as Exhibit 3.1 to this Current Report on Form 8-K and incorporated herein by reference. The Company filed the Amended and Restated Certificate of Incorporation with the Secretary of State of the State of Delaware on June 13, 2011.

Item 5.07. Submission of Matters to a Vote of Security Holders.

On June 9, 2011, the Company held its annual meeting of stockholders. At the annual meeting, the following matters were submitted to the vote of the stockholders, with the results of voting on each such matter as set forth below:

Proposal 1: The Company’s stockholders approved a proposal to re-elect the following three Class I directors to the Company’s Board of Directors, each to hold office until the 2014 annual meeting of stockholders (and until each such director’s successor shall have been duly elected and qualified), with voting results as follows:
