Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 9, 2011 the board of directors (the "Board") of SMTC Corporation (the "Company") appointed Mr. Clark Bailey as a member of the Board and Chairman of the Audit Committee, effective immediately. Mr. Bailey is Chairman and CEO of EDCI Holdings, Inc. Mr. Bailey was also appointed to serve on the Management Development and Compensation Committee and the Nominating and Corporate Governance Committee.
A copy of the press release issued in connection with the appointment of Mr. Bailey is filed as Exhibit 99.1 to this report and is incorporated herein by reference.
