On June 2, 2011, the following matters were voted upon and approved by the Company’s shareholders at the 2011 Annual General Meeting:
| 1. | To consider and act upon the nomination of Irvin F. Diamond, Jeffry I. Gillman and David R. Klunk for election as directors with three-year terms; and |
| 2. | To ratify the appointment of Deloitte & Touche Ltd. as the Company’s independent auditors for fiscal year 2011. |
