Item 4.02. Non-Reliance on Previously Issued Financial Statements or a Related Audit Reportor Completed Interim Review.
China Environmental Protection, Inc., a Nevada corporation (the “Company”), filed an Amendment No. 2 to Current Report on Form 8-K/A (the “Amendment No. 2”) with the Securities and Exchange Commission (the “SEC”) on May 26, 2011, to make the disclosures required by Item 4.02 of Form 8-K. This Amendment No. 3 to Current Report on Form 8-K/A (this “Amendment”) supplements the Amendment No. 2 in order to incorporate a letter from Friedman LLP (“Friedman”), dated May 31, 2011 and filed as Exhibit 16.1 hereto, stating whether Friedman agrees with the statements made in the Amendment No. 2 as they relate to Friedman.
Except as described above, no other changes have been made to the Amendment No. 2 and this Amendment does not modify or update any other information in the Amendment No. 2. Information not affected by the changes described above is unchanged and reflects the disclosures made at the time of the Amendment No. 2.
