Item 1.01    Entry into a Material Definitive Agreement.

On May 31, 2011, Cheniere Energy, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Credit Suisse Securities (USA) LLC (the “Underwriter”), providing for the offer and sale in a firm commitment underwritten offering (the “Offering”) of 11,000,000 shares of the Company's common stock, par value $0.003 per share (“Common Stock”), at a price to the Underwriter of $9.75 per share. Pursuant to the Underwriting Agreement, the Company granted the Underwriter a thirty-day option to purchase up to an additional 1,650,000 shares of Common Stock to cover over-allotments, which option was exercised by the Underwriter on June 1, 2011.

In the Underwriting Agreement, the Company has agreed to indemnify the Underwriter against certain liabilities, including liabilities under the Securities Act of 1933, as amended (the “Securities Act”), or to contribute to payments the Underwriter may be required to make because of any of those liabilities.

Item 7.01    Regulation FD Disclosure.

On June 6, 2011, the Company issued a press release announcing the closing of its previously announced Offering and the exercise by the Underwriter of the over-allotment option to purchase 1,650,000 shares of Common Stock.

A copy of the press release, dated June 6, 2011, is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.

The Offering of the 12,650,000 shares of Common Stock has been registered under the Securities Act pursuant to the Company's registration statement on Form S-3 (Registration No. 333-166328), which was declared effective on May 5, 2010, and the related final prospectus filed on June 1, 2011 with the Securities and Exchange Commission under Rule 424(b)(5) of the Securities Act. A legal opinion related to the offer and sale of such shares is filed herewith as Exhibit 5.1.
