On June 1, 2011, LendingClub Corporation retained Ms. Chaomei Chen to serve as the Company’s Chief Risk Officer. In connection with her employment, Ms. Chen will be paid $250,000 annually, with a potential bonus of up to $150,000. In addition, Ms. Chen will be granted an option for 668,121 shares of the Company’s common stock, to vest over four years pursuant to the company’s 2007 incentive stock option plan.
