Item 2.02 Results of Operations and Financial Condition.

On May 24, 2011, Premier Exhibitions, Inc. (the “Company”) issued a press release reporting results for fiscal year 2011, posted the press release on its website at www.prxi.com, and held a conference call to discuss such results. In connection with the conference call, the Company is furnishing to the Securities and Exchange Commission the conference call transcript attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference to this Item 2.02.
