Item 5.07 Submission of Matters to a Vote of Security Holders.

The 2011 Annual Meeting of Stockholders of PC Connection, Inc. was held on May 25, 2011. At the Annual Meeting of Stockholders, the following proposals were considered:

 

  (1) The election of six directors to serve until the 2012 Annual Meeting of Stockholders;

 

  (2) The amendment of the Company’s Executive Bonus Plan to increase the maximum bonus award payable to a participating executive for any plan year from $1 million to $2 million; and

 

  (3) The ratification of the selection by the Audit Committee of Deloitte & Touche LLP as our independent registered public accounting firm for the year ending December 31, 2011.
