Results of Operations and Financial Condition.

On May 20, 2011, China Ruitai International Holdings Co. Ltd. (the “Company”) issued a press release announcing financial results for the quarter ended March 31, 2011. On May 23, 2011, the Company hosted a conference call during which the Company’s financial results for the first quarter ended March 31, 2011 were discussed. A copy of the transcript of the conference call is attached hereto as Exhibit 99.1.
