Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
In accordance with Article III, Section 2 of the Registrant’s By-Laws, and by unanimous vote of Registrant’s Board of Directors dated May 20, 2011, Joseph P. Palm was appointed to be a member of the Board of Directors of the Registrant effective May 20, 2011, and shall hold office until the 2012 annual meeting of stockholders. Mr. Palm holds an MBA from Xavier University and has over 40 years of experience in industry primarily in the marketing area including 13 years with BP Amoco Chemical as marketing manager and business development manager.
