Item 5.07 Submission of Matters to a Vote of Security Holders
The following proposals were submitted to the holders of Class A common stock and Class B
common stock of Verisk Analytics, Inc. (the Company) for a vote at the 2011 Annual Meeting of
Stockholders held on May 18, 2011:
1. | The election of four members of the Board of Directors; | ||
2. | The advisory, non-binding resolution to approve the compensation of the Companys named executive officers (say-on-pay); | ||
3. | The advisory, non-binding resolution as to whether say-on-pay votes should be held every one, two or three years (say-on-pay frequency); and | ||
4. | The ratification of the appointment of Deloitte & Touche LLP as the Companys independent auditor for the year ending December 31, 2011. |

On May 18, 2011, the Board of Directors of the Company determined that it will include
annually in the Companys proxy statement a shareholder vote on the compensation of the Companys

Companys independent auditor for the year ending December 31, 2011 by the following vote:
