Pioneer Natural Resources Company (the "Company") is filing this Amendment No. 1 to the Company's Quarterly Report on Form 10-Q for the three months ended March 31, 2011 solely to file an updated Exhibit 12.1 "Computation of Ratios of Earnings to Fixed Charges and Earnings to Fixed Charges and Preferred Stock Dividends" to make certain corrections to the definitions of earnings, the presentations and footnote disclosure of the excess of fixed charges over earnings for the three months ended March 31, 2011 and the year ended December 31, 2009, and the ratios of 2006. This amendment does not otherwise change or update the disclosures set forth in the Company's Quarterly Report on Form 10-Q for the three months ended March 31, 2011 as originally filed and does not otherwise reflect events occurring after the original filing of the report.
