Item 2.02 Results of Operations and Financial Condition
On May 19, 2011, Cost Plus, Inc. (the “Company”) issued a press release regarding its first quarter sales and earnings data for fiscal 2011 in which it also provided initial guidance for the second quarter of fiscal 2011 and increased guidance for the full year of fiscal 2011. A copy of the press release is attached as Exhibit 99.1 hereto.
Pursuant to General Instruction B.2 of Form 8-K, the press release attached as Exhibit 99.1 is not “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, but is instead furnished for purposes of that instruction.
