Item 3.01 Notice of Delisting of Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing
On April 6, 2011, Archipelago Learning, Inc. (“the Company”) filed a Current Report on Form 8-K with the SEC reporting the resignation of Michael K. Powell from the Company’s Board of Directors on April 5, 2011 and the Company’s notice to Nasdaq on April 6, 2011 that, as a result of Mr. Powell’s resignation, the Company is currently out of compliance with Nasdaq’s majority independent board composition requirements set forth in Nasdaq Listing Rule 5605(b)(1).
As anticipated, on May 16, 2011, the Company received a notification from Nasdaq that the Company is currently out of compliance with Nasdaq’s majority independent board composition requirements set forth in Nasdaq Listing Rule 5605(b)(1), which requires listed companies to maintain an independent majority board. Nasdaq’s notification indicates that the Company has a cure period until October 3, 2011 to regain compliance.
The Company plans to fill the vacancy on the Board with an independent candidate in the near future to regain compliance.
