OTHER EVENTS

In a press release issued on May 18, 2011, the Company announced that its Board of Directors has declared a cash dividend of $0.03 per share. The dividend will be paid on June 24, 2011, to stockholders of record as of June 10, 2011. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
