Eagle Rock Announces Private Offering of Senior Notes

 

HOUSTON - Eagle Rock Energy Partners, L.P. (“Eagle Rock” or the “Partnership”) (NASDAQ: EROC) announced today that, subject to market conditions, it intends to commence a private offering to eligible purchasers of $300 million in aggregate principal amount of senior unsecured notes due 2019 (the “Notes”).

 

The Partnership intends to use the net proceeds from the Notes offering to repay outstanding indebtedness under its existing revolving credit facility.  The Partnership is currently in the process of refinancing its existing revolving credit facility with a new five year revolving credit facility, which is conditioned upon completion of the Notes offering.

 

The Notes have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws, and unless so registered, the Notes may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.  The Notes are expected to be eligible for trading by qualified institutional buyers under Rule 144A and non-US persons under Regulation S.  This announcement is being issued pursuant to Rule 135c under the Securities Act and shall not constitute an offer to sell or the solicitation of an offer to buy the Notes.
