RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On May 16, 2011, Zoo Entertainment, Inc. (the “Company”) issued an earnings release announcing its financial results for the first quarter ended March 31, 2011. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
The Company’s press release contains non-GAAP financial measures. Pursuant to the requirements of Regulation G, the Company has provided reconciliations within the press release of the non-GAAP financial measures to the most directly comparable GAAP financial measures.
The Company conducted a conference at 4:30 p.m. (EST) on Monday, May 16, 2011 to discuss these results.
