Energizer Holdings, Inc. to Offer $600 Million in Senior Notes

St. Louis, MO, May 16, 2011...Energizer Holdings, Inc. (NYSE: ENR) announced today that, subject to market and other conditions, it intends to offer up to $600 million in senior notes to certain qualified institutional buyers. The Company expects to commence the offering immediately and plans to use the net proceeds to refinance outstanding indebtedness and other general corporate purposes.

The offering will be made by means of an offering memorandum to qualified institutional buyers pursuant to Rule 144A (and outside the United States in reliance on Regulation S) under the Securities Act of 1933, as amended. The notes have not been registered under the Securities Act or applicable state securities laws, and may not be offered or sold absent registration under the Securities Act or applicable state securities laws or applicable exemptions from registration requirements.
