On May 12, 2011, Jonathan R. Phillips resigned as member of the board of directors of Ophthalmic Imaging Systems (“Company”), effective immediately. Mr. Phillips did not resign as a result of any disagreements with management. Mr. Phillips has agreed to serve as a consultant to the Company.
