Item 5.07 Submission of Matters to a Vote of Security Holders.
The Annual Meeting of Stockholders of Mohawk Industries, Inc. (the “Company”) was held on May 11, 2011, at which time stockholders were asked to elect a class of directors to serve a three-year term beginning in 2011, ratify the selection of KPMG LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2011, make a non-binding, advisory vote with respect to the compensation of the Company’s Named Executive Officers, as disclosed and discussed in the compensation discussion and analysis, compensation tables and any related material disclosed in the proxy statement and make a non-binding, advisory vote regarding the frequency of future advisory votes on the compensation of the Company’s Named Executive Officers.
