Item 2.02 Results of Operations and Financial Condition.
On May 12, 2011, Harland Clarke Holdings Corp. (“Holdings”), an indirect wholly owned subsidiary of M & F Worldwide Corp. (the “Company”) announced that it would be providing information to certain lenders in connection with its previously disclosed meeting to discuss a possible amendment and extension of its existing senior secured term loan facility. The information
furnished by Holdings is attached as Exhibit 99.1 to Holdings’ Current Report on Form 8-K filed on May 13, 2011 and incorporated by reference herein.
