ITEM 8.01.                      Other Events.
 
On May 11, 2011, Frontier Oil Corporation (“Frontier”) issued a press release announcing the date and record date for the special meeting of shareholders of Frontier, at which shareholders of Frontier will consider and vote on, among other things, the proposed Agreement and Plan of Merger, dated February 21, 2011 by and between Frontier and Holly Corporation. The special meeting is scheduled for June 28, 2011, at 3:00 p.m. Central Time.  The record date for shareholders entitled to vote at the meeting is May 20, 2011.

A copy of this press release is set forth in Exhibit 99.1 hereto and is incorporated herein by reference.
