On May 6, 2010, Rodman & Renshaw Capital Group, Inc. (the “Company”) held its 2011 Annual Meeting of Stockholders. At that meeting, stockholders holding approximately 92% of the eligible votes:

| · | Ratified the appointment of KPMG LLP as the Company’s independent auditors for the 2011 fiscal year. |
