ITEM 8.01. OTHER EVENTS.

On May 6, 2011, we entered into a purchase agreement with Wells Fargo Securities, LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated as representatives of the several underwriters named in Schedule A thereto, in connection with the offer and sale by us of up to 9,200,000 shares of our common stock, par value $0.01 per share (consisting of 8,000,000 shares of Initial Securities and 1,200,000 shares of Option Securities, in each case as defined in the purchase agreement) in a registered public offering under a prospectus supplement and related prospectus filed with the Securities and Exchange Commission pursuant to our existing effective shelf registration statement on Form S-3 (File No. 333-170388). The offering is scheduled to close on May 11, 2011, subject to specified closing conditions. The description in this Current Report of the purchase agreement is not intended to be a complete description thereof and is qualified in its entirety by the full text of the purchase agreement which is attached as Exhibit 1.1 to this Current Report and is incorporated by reference herein.

In connection with the filing of the purchase agreement, we are filing as Exhibit 5.1 hereto an opinion of our counsel, Ballard Spahr LLP, regarding certain Maryland law issues.

On May 6, 2011, we issued a press release entitled “BRE Properties Announces Pricing of Common Stock Offering,” a copy of which is filed as Exhibit 99.1 to this Current Report and is incorporated by reference herein.
