On May 3, 2011, Amerigon Incorporated (“Amerigon”) issued a press release announcing that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, relating to Amerigon’s previously announced acquisition of a majority of the voting shares of W.E.T. Automotive Systems AG, a German company (“W.E.T.”), has expired without further action by the Federal Trade Commission, thereby satisfying a condition of closing of the transaction. Closing of the transaction is presently expected to occur at the beginning of June 2011.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
