Item 5.07
Submission of Matters to a Vote of Security Holders
 
On April 28, 2011, Southern National Bancorp of Virginia, Inc. (the "Company") held its Annual Meeting of Stockholders, at which time stockholders were asked to consider four proposals, as follows:
 
1.  
To elect three (3) directors of Class II to serve on the Board of Directors of the Company until the Company’s 2014 annual meeting of stockholders, and each until their successors are duly elected and qualified, or until their earlier resignation or removal;
 
2.  
To ratify the appointment of KPMG LLP as the independent registered public accounting firm of the Company for the fiscal year ending December 31, 2011;
 
3.  
To conduct an advisory (non-binding) vote regarding the compensation of the Company’s named executive officers; and
 
4.  
To conduct an advisory (non-binding) vote regarding the frequency of holding future advisory votes regarding the compensation of the Company’s named executive officers.
