Item 2.02 Results of Operations and Financial Condition
On May 3, 2011, Plantronics, Inc. ("the Company"), a Delaware corporation, issued a press release reporting its results of operations and financial condition for the fourth quarter of fiscal year 2011 which ended April 2, 2011, a copy of which is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

Item 7.01 Regulation FD Disclosure
On May 3, 2011, the Company announced in its press release titled "Plantronics Announces Fourth Quarter and Fiscal Year 2011 Results" that its Board of Directors had declared a cash dividend of $0.05 per share of the Company's common stock, payable on June 10, 2011 to stockholders of record at the close of business on May 20, 2011.

On May 3, 2011, the Company issued a press release announcing its Board of Directors had authorized the repurchase of up to 7,000,000 shares of the Company's outstanding common stock, a copy of which is furnished as Exhibit 99.2 to this Current Report on Form 8-K. The Board of Directors approved the authorization on May 2, 2011.
