Results of Operations and Financial Condition.

On May 3, 2011, OCZ Technology Group, Inc. (“OCZ”) issued a press release announcing its financial results for the three and twelve months ended February 28, 2011. A copy of the press release is attached hereto as Exhibit 99.1.
