Item 2.02 Results of Operations and Financial Condition.
On
May 2, 2011, UGI Corporation, the parent of UGI Utilities, Inc. (the “Company”), issued a
press release announcing financial results for the Company, and the Company’s Gas Utility and
Electric Utility divisions for the fiscal quarter ended March 31, 2011. A copy of the press
release is furnished as Exhibit 99 to this report and is incorporated herein by reference.
