Item 5.03
Amendments to the Articles of Incorporation or By-laws; Change in Fiscal Year
On April 27, 2011, the Board of Directors amended Article IV, Section 8 of the by-laws to provide that the treasurer shall be the principal financial officer of the corporation "unless the board of directors specifies otherwise". Pursuant to the amended language, the Board specified that D. D. Humphreys, Senior Vice President, would continue to serve as principal financial officer. The complete by-laws, as amended, are filed as Exhibit 3(ii) to this Report.
