Departure of Chief Technology Officer, Stuart Cochran.

Effective April 29, 2011, Stuart Cochran resigned as Chief Technology Officer of Evolving Systems, Inc. (“Company”).  The Company is not currently planning to appoint a new Chief Technology Officer and will be assigning responsibilities of this function to existing personnel.
